Chapter I

GENERAL PROVISIONS

§1

The foundation under the name – HoloMind Foundation – hereinafter referred to as the “Foundation,” was established by Magdalena Kaspryszyn, Adam Dębski, and Karolina Błońska, hereinafter referred to as the “Founders,” by notarial deed executed at:

§2

The Foundation operates on the basis of the provisions of the Act of 6 April 1984 on Foundations (consolidated text: Journal of Laws of 2018, item 1491, as amended), the Act of 24 April 2003 on Public Benefit and Volunteer Work (consolidated text: Journal of Laws of 2018, item 450, as amended), other universally binding legal provisions, and this Statute.

§3

    1. The Foundation has legal personality.
    2. The Foundation is established for an indefinite period.
    3. The registered office of the Foundation is the capital city of Warsaw.
    4. The Foundation may establish branches, subsidiaries, and institutes, as well as representative offices in Poland and abroad. It may also merge with other foundations and participate as a member in associations, foundations, and other organizations.

§4

    1. The territorial scope of the Foundation’s activity is the territory of the Republic of Poland.
    2. For the proper fulfillment of its objectives, the Foundation may also operate outside the borders of the Republic of Poland.

§5

The Foundation shall use stamps bearing its identifying details.

§6

    1. The Foundation may establish certificates, badges, and honorary medals, and may award them together with other prizes and distinctions to natural persons, legal persons, and organizational units without legal personality, which have legal capacity under the law (hereinafter: “statutory legal persons”), who have rendered outstanding service to the Foundation, contributed to the achievement of its objectives, or to the Foundation itself.
    2. Natural persons, legal persons, and statutory legal persons who make donations, grants, or subsidies to the Foundation, whether one-time or cumulative, of at least PLN 100,000 (in words: one hundred thousand zlotys) or, in the case of foreign entities, EUR 20,000 (in words: twenty thousand euros), shall, if they so request, receive the title of Sponsor of the Foundation.
    3. The title of Sponsor is personal in nature.

Chapter II

OBJECTIVES AND PRINCIPLES OF THE FOUNDATION’S ACTIVITIES

§7

The Foundation’s statutory activities may be conducted either as non-profit activities or as paid activities within the meaning of the provisions on public benefit activities and volunteering.

§8

The Foundation operates with the aim of promoting psychological, therapeutic, and psychiatric education in Poland and abroad, as well as improving the quality and accessibility of psychotherapy, psychological, and psychiatric care. It also aims to provide comprehensive assistance to individuals affected by PTSD, depression, treatment-resistant depression, other mental illnesses, disorders, and addictions, as well as to support their families. An important part of the mission is engaging in health protection activities.

The Foundation works to:

    • educate on:
        • preventing the negative effects of psychoactive substance use,
        • the risks of using illegal substances,
        • harm reduction,
        • the latest discoveries in science, psychiatry, and therapy,

    • assist in the treatment of addictions, depression, and neurosis,

    • help prevent problems with addictions, depression, and neurosis,

    • develop a research and educational center dedicated to disseminating professional knowledge for psychologists, therapists, psychiatrists, doctors, and individuals interested in exploring the complexities of the human mind.

§9

The Foundation pursues its objectives through:

    1. Cooperation with scientific communities, governmental institutions, European Union bodies, local authorities, businesses, private individuals, and non-governmental organizations with similar statutory goals operating both in Poland and abroad,
    2. Organizing public fundraising campaigns, including via the Internet and other means of remote communication,
    3. Selling donated items,
    4. Promoting activities aimed at raising social awareness and acceptance regarding mental health, including the development of mental, physical, and educational well-being.
    5. Organizing the process of treatment and rehabilitation for mental illness and/or disorders related to addictions, including alcohol, drugs, medications, intoxicating substances, gambling, and other behavioral addictions.
    6. Promoting and/or co-creating investments, programs, campaigns, and research in the field of mental health and other areas contributing to the statutory goals.
    7. Providing assistance to families of individuals struggling with addictions and mental illness.
    8. Disseminating knowledge about modern therapeutic treatments and increasing their accessibility.
    9. Designing, co-developing, and conducting scientific research in the fields of psychiatry and neuroscience, as well as analyzing completed studies.
    10. Enabling professional activation for individuals affected by mental disorders and addictions, as well as their families.
    11. Facilitating social activation and integration through sports, culture, science, tourism, art, art therapy, recreational activities, and workshops.
    12. Operating a club/community center offering a variety of rehabilitation, therapeutic, and educational activities.
    13. Providing organizational, material, and financial support to healthcare institutions engaged in saving health or life.
    14. Supporting talented children, youth, and students through relevant internships, especially in the area of mental health.
    15. Providing prevention programs for children, youth, and adults, as well as broader activities aimed at preventing mental disorders and addictions.
    16. Conducting activities in mental health prevention and promotion through media cooperation, creating publications, and organizing conferences, lectures, workshops, etc.
    17. Enhancing the competencies of therapeutic and medical staff.
    18. Initiating and collaborating on film, theater, music, dance, and visual arts, literary, and photographic projects.
    19. Organizing active leisure activities such as tourism and active recreation.
    20. Recruiting volunteers and organizing volunteer work in support of the Foundation’s statutory goals.
    21. Supporting activities related to environmental and ecological protection, animal welfare, as well as culture, art, and the protection of cultural assets and national heritage.
    22. Conducting educational activities for both adults and children.
    23. Engaging in cultural activities and initiatives related to culture, art, and the protection of cultural assets and national heritage.
    24. Activities supporting the integration and reintegration of people at risk of social exclusion in professional and social contexts.
    25. Promoting and disseminating charitable activities.
    26. Promoting and organizing volunteering.
    27. Engaging in activities for the benefit of non-governmental organizations.
    28. Activities supporting European integration and the development of contacts and cooperation between societies.
    29. Promoting and supporting the integral approach.
    30. Conducting research in the fields of psychology, therapy, and coaching within the integral approach framework.
    31. Creating and strengthening professional standards as well as influencing the improvement of skills, efficiency, and professional ethics of its members, as well as coaches, therapists, and psychologists.
    32. Building a platform where members can address professional matters in order to provide clients with the highest quality solutions and services.
    33. Social assistance, including helping families and individuals in difficult life situations and ensuring equal opportunities for these families and individuals.
    34. Activities supporting the development of communities and local societies.
    35. Protection and promotion of health.
    36. Activities for people with disabilities.
    37. Promotion of employment and professional activation of people who are unemployed or at risk of job loss.
    38. Activities for equal rights for women and men.
    39. Activities for the elderly.
    40. Prevention of addictions and social pathologies.
    41. Acquiring sponsors and cooperating with local, regional, and national authorities, NGOs, and healthcare institutions within the scope of the foundation’s objectives.
    42. Running a patient club bringing together patients and supporting individuals with psychophysical, psychological, and mental health problems.
    43. Cooperation with organizations, foundations, and companies from Poland and abroad
      • implementation of training, conferences, meetings, and workshops,
      • Implementation of projects using grants, contributions supporting education, and psychological assistance.
    44. Organizing and funding training and development programs for people involved in the foundation’s activities, including but not limited to collaborators, employees, co-founders, and founders.

§10

    1. Income from the foundation’s paid public benefit activities is used solely for achieving its statutory objectives.
    2. The foundation may conduct paid activities as a business activity within the meaning of the Act of 6 March 2018 – Entrepreneurs’ Law, in accordance with the principles set out in the Act of 24 April 2003 on Public Benefit and Volunteer Work (consolidated text: Journal of Laws of 2024, item 1491, as amended).
    3. Conducting both paid and unpaid public benefit activities requires separate accounting for these activities to the extent necessary to determine revenue, costs, and results, in accordance with accounting regulations.
    4. The foundation may carry out business activities in a scope serving the achievement of its objectives, as an additional activity to its public benefit activities.

§11

To achieve its objectives, the foundation may support the activities of other legal entities and natural persons whose activities are consistent with the foundation’s objectives and actions. Furthermore, it may commission the performance of any paid work to various legal entities and natural persons, financed from the foundation’s resources.

§12

Statutory activities may be conducted as either paid or unpaid activities within the meaning of the Act of 24 April 2003 on Public Benefit and Volunteer Work.

§13

The foundation may provide medical services within the meaning of the Act of 15 April 2011 on Medical Activity

Chapter III

ASSETS AND INCOME OF THE FOUNDATION

§14

The assets of the Foundation consist of the founding fund in the amount of PLN 1,500 (one thousand five hundred Polish zlotys) as well as financial resources, property rights, real estate, and movable property acquired by the Foundation during its operations.

§15

All income obtained by the Foundation shall be allocated exclusively to statutory activities, unless the donors have decided otherwise.

§16

The Foundation may not:

    1. Grant loans or secure liabilities with the assets of the Foundation in relation to its Founders, members of its governing bodies, or its employees, as well as persons with whom the Founders, members of its governing bodies, or its employees remain in a marital relationship, cohabit, or are related by blood or affinity in the direct line, or in the collateral line up to the second degree, or are connected through adoption, guardianship, or custody, hereinafter referred to as “close persons.”
    2. Transfer its assets to its Founders, members of its governing bodies, or its employees and their close persons on terms other than those applicable to third parties, in particular if such transfer is made free of charge or on preferential terms.
    3. Use its assets for the benefit of its Founders, members of its governing bodies, or its employees and their close persons on terms other than those applicable to third parties, unless such use directly results from the statutory purpose.
    4. Purchase goods or services from entities in which the Founders, members of its governing bodies, or its employees and their close persons participate, on terms other than those applicable to third parties or at prices higher than market prices.


§17

The assets of the Foundation may derive from:

    1. Donations, inheritances, and bequests.
    2. Grants, subsidies, and funding awards.
    3. Allocations from the 1.5% personal income tax mechanism.
    4. Income from the Foundation’s fixed and movable assets.
    5. Income from fundraising campaigns (including online) and public events.
    6. Bank interest on cash deposits.
    7. Remunerated public benefit activities.
    8. Remunerated activities such as the sale of services (training, consulting, workshops, conferences, meetings) and tangible goods (merchandise, devices, equipment)

§18

    1. In matters concerning the acceptance of donations and inheritances, the statements required by law shall be made by the Management Board of the Foundation.
    2. In the event that the Foundation is appointed as an heir, the Management Board shall submit a declaration of acceptance of the inheritance with the benefit of inventory, and only if at the time of submitting such declaration it is clear that the active estate significantly exceeds the estate’s debts.

Chapter IV

AUTHORITIES OF THE FOUNDATION

§19

The authorities of the Foundation are:

The Management Board of the Foundation, consisting of the President, the Vice President, and/or Members – hereinafter referred to as the Management Board.

§20

  1. The Management Board shall consist of one to five persons, including the President, appointed and dismissed by the Founder for an indefinite term.
  2. One of the Founders may be a permanent member of the Management Board and may serve as the President.
  3. Membership in the Management Board shall expire as a result of:
    1. Submitting a written resignation to the President of the Foundation.
    2. Loss of civic rights as a result of a final court judgment for an offence committed with intent.
    3. Death of a member of the Management Board.
    4. Dismissal by the Founder as a result of:
      1. Conducting activities by a member of the Management Board of a nature preventing the proper performance of their function.
      2. Illness, disability, or loss of strength causing permanent incapacity to perform the function of a member of the Management Board.
      3. Failure to perform the duties of a member of the Management Board for a period exceeding six months.
      4. Improper performance of the duties of a member of the Management Board.
      5. Material breach of the provisions of the Statute.
      6. Undertaking actions by a member of the Management Board contrary to the law or aimed at causing damage to the Foundation

§21

The competences of the Management Board include:

    1. Implementation of the statutory objectives.
    2. Preparing work plans and the budget.
    3. Managing the assets of the Foundation.
    4. Employing staff and determining their remuneration.
    5. Determining the remuneration of members of the Management Board.
    6. Making decisions on amendments to the Statute.
    7. Merging with another foundation or liquidating the Foundation.
    8. Approving annual activity reports

§22

    1. Each member of the Management Board has the right and obligation to manage the affairs of the Foundation. To perform actions exceeding the scope of ordinary management, it is necessary for the Management Board to adopt a formal resolution.
    2. The Management Board shall make decisions by resolutions adopted by a simple majority of votes, unless otherwise provided in further provisions of the Statute. In the case of a tie, the vote of the President of the Management Board shall be decisive.
    3. Meetings of the Management Board shall be held as necessary, but not less than once a year, and shall be convened by the Management Board or by the Founder.
    4. All members of the Management Board shall be notified of the meeting by electronic or traditional mail at least seven days before the planned date.
    5. A meeting of the Management Board may be held without formal convening if all its members consent, no later than on the day of the meeting.
    6. Members of the Management Board may be employed by the Foundation in connection with their function on the Management Board or independently thereof, on the basis of a civil law contract, an employment contract, or by appointment.
    7. Employment contracts and civil law contracts with the employees of the Foundation and other members of the Management Board shall be signed by the President of the Foundation. An employment contract or civil law contract with the President shall be signed by a proxy appointed by a resolution of the Management Board. The proxy may be another member of the Management Board.
    8. The remuneration of members of the Management Board is subject to limits, i.e., it shall not exceed the amount specified in Article 9(1)(2) of the Act on Public Benefit and Volunteer Work.

MANNER OF REPRESENTATION

§23

The President of the Management Board is authorized to make declarations of intent, conclude contracts, and sign on behalf of the Foundation independently, as well as the Vice President of the Management Board or the Secretary (after obtaining prior consent from the President in writing or via electronic communication).

Chapter V

FINAL PROVISIONS

§24

    1. The Foundation shall be liquidated upon achieving the objectives for which it was established or in the event of exhaustion of its financial resources and assets.
    2. The Management Board shall notify the minister competent for health matters about the liquidation of the Foundation.
    3. The decision on liquidation shall be taken by the Management Board with at least half of the members entitled to vote present, including the President.
    4. The financial resources and assets remaining after the liquidation of the Foundation may, by resolution of the Foundation Council, be allocated to organizations operating in the Republic of Poland with similar objectives
